Controx is a managed, done-for-you service and not a self-serve software platform.
2. Demo Booking & Service Eligibility
Prospective clients typically begin by booking a consultation or demo.
We reserve the right to:
- Accept or decline service requests
- Determine service availability
- Refuse onboarding where operationally unsuitable
- Modify service offerings at any time
Clients must provide accurate and complete information during onboarding.
3. Done-for-You Onboarding
Controx configures and manages AI receptionist workflows for clients.
Onboarding may include:
- Call flow setup
- Scheduling workflow configuration
- Voice AI deployment
- Front desk process mapping
- Communication routing
- After-hours call handling setup
Implementation timelines may vary depending on clinic requirements and third-party integrations.
4. Client Responsibilities
Clients agree to:
- Provide accurate operational information
- Maintain lawful use of services
- Obtain any legally required patient consents
- Ensure compliance with applicable healthcare laws
- Review AI-generated workflows and configurations
- Notify Controx of operational changes affecting communication flows
Clients remain responsible for:
- Clinical decisions
- Medical advice
- Appointment availability accuracy
- Emergency response procedures
- Staff oversight
5. AI-Generated Communication Disclaimer
Controx utilizes AI-generated communication technologies powered in part by:
- OpenAI
- Anthropic
- Retell AI
AI-generated responses may occasionally contain inaccuracies, misunderstandings, incomplete information, or unintended outputs.
Clients acknowledge that:
- AI systems are probabilistic technologies
- Human oversight remains important
- Controx does not guarantee perfect accuracy
- AI communications should not replace professional clinical judgment
6. Third-Party Infrastructure
Certain components of the service rely on third-party providers, telecommunications systems, and cloud infrastructure.
Controx is not responsible for:
- Third-party outages
- Carrier interruptions
- External API failures
- Internet connectivity disruptions
- Delays caused by external providers
Service availability may be affected by factors outside our control.
7. Acceptable Use
Clients may not use Controx services to:
- Violate laws or regulations
- Misrepresent medical services
- Transmit unlawful or harmful content
- Conduct fraudulent activity
- Interfere with system operations
- Attempt unauthorized access to systems or data
We reserve the right to suspend or terminate services for misuse.
8. Healthcare & Compliance Disclaimer
Controx supports secure patient communication and dental clinic operations but is not a healthcare provider.
Unless separately agreed in writing:
- Controx does not guarantee compliance with any specific regulatory framework
- Clients remain responsible for their own legal and compliance obligations
- Services should not be relied upon for emergency medical communication
Patients experiencing emergencies should contact emergency services directly.
9. Pricing & Payments
Pricing, onboarding fees, recurring service fees, and billing terms are communicated separately through proposals, invoices, or service agreements.
Controx does not directly process patient payments through the platform.
Failure to pay applicable fees may result in service suspension or termination.
10. Intellectual Property
All Controx branding, workflows, software configurations, documentation, and service materials remain the property of Controx unless otherwise agreed in writing.
Clients retain ownership of:
- Their business information
- Patient-related operational data
- Clinic branding and content they provide
Clients grant Controx a limited right to use provided materials solely for delivering services.
11. Confidentiality
Both parties agree to maintain the confidentiality of non-public business information shared during the service relationship.
Confidential information does not include information that:
- Is publicly available
- Was independently developed
- Was lawfully obtained from another source
- Must be disclosed by law
12. Service Availability & Limitations
While we aim to provide reliable service, Controx does not guarantee:
- Continuous uptime
- Error-free operation
- Uninterrupted call handling
- Perfect speech recognition accuracy
- Universal compatibility with all third-party systems
Maintenance, updates, or external infrastructure issues may temporarily affect service availability.
13. Limitation of Liability
To the maximum extent permitted by law, Controx shall not be liable for:
- Indirect or consequential damages
- Lost profits or revenue
- Missed appointments
- Communication delays
- Business interruption
- Data loss
- Patient dissatisfaction resulting from AI-generated interactions
Total liability shall not exceed the fees paid to Controx during the three months preceding the event giving rise to the claim.
14. Indemnification
Clients agree to indemnify and hold harmless Controx from claims arising from:
- Client misuse of services
- Regulatory violations
- Improper patient disclosures
- Inaccurate information provided by the client
- Unauthorized use of patient information
15. Termination
Either party may terminate services in accordance with applicable agreements or written notice requirements.
Upon termination:
- Access to services may be discontinued
- Certain data may be deleted according to retention practices
- Outstanding fees remain payable
16. Changes to These Terms
We may update these Terms periodically.
Updated Terms become effective upon posting to the website or otherwise communicating updates to clients.
Continued use of services constitutes acceptance of revised Terms.
17. Governing Law
These Terms shall be governed by the laws of the applicable jurisdiction in which Controx operates, unless otherwise agreed in writing.
